Terms of Service
Effective date: June 2025 · Simplexity Accounting
Plain-English summary: This website provides general information about Simplexity Accounting's services. Nothing here is legal, financial, tax, or accounting advice. Actual professional services are governed by a separate written engagement letter — not by this website. By using this site you agree to these terms.
1. Acceptance of Terms
By accessing or using the Simplexity Accounting website at simplexity.co (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.
These Terms apply to all visitors, users, and anyone who submits a form or downloads materials from the Site. Simplexity Accounting ("Simplexity," "we," "us," or "our") reserves the right to update these Terms at any time by posting a revised version with an updated effective date.
2. No Professional Advice
Important: The content on this website — including service descriptions, pricing ranges, process descriptions, blog posts, downloadable resources, and any other materials — is provided for general informational purposes only. It does not constitute and should not be relied upon as accounting, tax, financial, legal, or any other form of professional advice.
No accountant-client, attorney-client, or any other professional relationship is created by your use of this Site or by submitting an inquiry form. A professional engagement with Simplexity begins only upon execution of a written engagement letter signed by both parties, which will govern the specific scope, fees, and terms of the services to be provided.
Pricing ranges shown on this Site (e.g., "$2,000–$4,000/month") are indicative estimates only. Actual fees depend on the specific scope of work, company size, complexity, and timeline, and will be confirmed in a written engagement letter.
3. Permitted Use
You may use this Site for lawful purposes to learn about Simplexity's services and to submit inquiries. You agree not to:
- Use the Site in any way that violates applicable federal, state, or local laws or regulations
- Transmit any unsolicited or unauthorized advertising or promotional material
- Attempt to gain unauthorized access to any portion of the Site or its related systems
- Use automated tools (bots, scrapers, crawlers) to extract data from the Site without our prior written consent
- Submit false or misleading information through any form on the Site
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
4. Intellectual Property
All content on this Site — including but not limited to text, graphics, logos, images, service descriptions, and downloadable resources such as the Simplexity Accounting Finance Roadmap — is the property of Simplexity Accounting and is protected by applicable intellectual property laws.
You may download and print materials from this Site for your own personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from this Site without our prior written consent.
5. Downloadable Resources
Resources available for download from this Site, including the Startup Finance Roadmap PDF, are provided for general informational purposes only. They do not constitute professional advice and are not a substitute for engagement-specific guidance from a qualified accounting professional. Simplexity makes no warranty that the information in these resources is complete, accurate, or current.
6. Third-Party Links
This Site contains links to third-party websites and services, including Calendly for meeting scheduling. These links are provided for your convenience only. Simplexity has no control over the content or practices of third-party sites and accepts no responsibility for them. Your use of any third-party site is governed by that site's own terms and privacy policy.
7. Disclaimer of Warranties
This Site and all content on it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
Simplexity does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any content on the Site.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Simplexity Accounting, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, data, goodwill, or business opportunities — arising out of or in connection with:
- Your use of or inability to use the Site
- Any content obtained from the Site
- Any unauthorized access to or alteration of your transmissions or data
- Any reliance on information, pricing, or service descriptions on the Site prior to execution of a written engagement letter
In no event shall Simplexity's total liability to you for all claims arising from your use of the Site exceed one hundred US dollars ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless Simplexity Accounting and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your infringement of any third-party rights.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.
11. Engagement Services — Separate Agreement
If you engage Simplexity Accounting for professional accounting services, the terms and conditions of that engagement — including scope, fees, confidentiality, deliverables, dispute resolution, and limitation of liability for professional services — will be set forth in a separate written engagement letter. In the event of any conflict between these Terms and an executed engagement letter, the engagement letter will control with respect to the professional services.
12. Confidentiality of Inquiries
Information you submit through our contact forms will be treated as confidential by Simplexity and used only as described in our Privacy Policy. However, submission of a form does not create a confidentiality obligation on Simplexity's part beyond what is described in the Privacy Policy, and does not constitute the establishment of an accountant-client relationship.
13. Changes to These Terms
We may revise these Terms at any time by updating this page. The revised Terms will be effective immediately upon posting. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
